Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Starply ("Starply," "we," "our," or "us") governing your access to and use of the Starply website, application, APIs, and related services (collectively, the "Service").

By creating an account, connecting your Google Business Profile, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of the Service

Starply is an AI-assisted review management platform for local businesses. The Service includes:

  • Importing reviews from connected Google Business Profile locations
  • AI-generated reply drafts based on your configured brand voice and knowledge base
  • Human approval workflow for posting replies
  • Optional automated reply mode, subject to rules you configure
  • Analytics and insights dashboards
  • Review request link generation and customer engagement tools

We may add, modify, or remove features at any time. If we discontinue a paid feature you are currently subscribed to, we will provide reasonable advance notice.

3. Eligibility and Account Registration

You must be at least 18 years old and legally capable of entering into a binding contract to use the Service. By creating an account, you represent that:

  • You are at least 18 years old
  • You have the legal authority to bind any business or organization you represent
  • All information you provide is accurate and current
  • You will keep your account credentials secure and not share them with others
  • You are solely responsible for all activity under your account

4. Google Business Profile Integration

Starply integrates with Google Business Profile through Google's official OAuth 2.0 flow. By connecting your Google Business Profile, you grant Starply permission to:

  • Read your business location data and customer reviews
  • Post reply drafts that you have explicitly approved (or that auto-reply posts based on rules you have configured)
  • Refresh authentication tokens automatically to maintain the connection

You acknowledge and agree that:

5. AI-Generated Content Disclaimer

Important: All reply suggestions generated by Starply's AI are drafts only. You are solely responsible for reviewing, editing, and approving any content before it is posted publicly to Google Business Profile or any other platform. Starply is not liable for any content you choose to publish.

By using the Service, you acknowledge and agree that:

  • AI-generated suggestions may contain errors, inaccuracies, or content that does not reflect your intended tone
  • You must review all content before approving or posting it
  • You are the sole author and publisher of any content you approve, and you are solely responsible for its accuracy, legality, and compliance with applicable platform policies
  • Auto-reply features require explicit opt-in and must be configured by you with appropriate guardrails; Starply is not responsible for auto-replies you have configured
  • AI providers occasionally produce content that is offensive, incorrect, or inappropriate; you must apply human judgment before publishing
  • Starply does not guarantee any specific business outcome (star rating improvement, SEO ranking, customer retention) from using the Service

6. User Responsibilities and Acceptable Use

You agree to:

  • Provide accurate, current, and complete account information
  • Maintain the security of your account credentials and OAuth tokens
  • Comply with Google Business Profile Terms of Service and all applicable Google API policies
  • Use the Service only for lawful business purposes
  • Review all AI-generated content before publishing
  • Promptly notify us of any unauthorized use of your account

You agree NOT to:

  • Use the Service to post fake, misleading, or deceptive reviews or replies
  • Use the Service to offer incentives (money, discounts, gifts) in exchange for reviews, which violates Google's policies
  • Use the Service to harass, threaten, defame, or discriminate against reviewers or any person
  • Use the Service to post spam, promotional content unrelated to the review, or content containing personal information of third parties
  • Attempt to reverse engineer, decompile, or otherwise extract the source code of the Service
  • Attempt to access data belonging to other users or organizations
  • Attempt to circumvent rate limits, security measures, or access controls
  • Use the Service to build a competing product or resell Service functionality without written permission
  • Use automated means (scrapers, bots) to access the Service except through our official API
  • Transmit malware, viruses, or any harmful code through the Service

Violation of this section may result in immediate suspension or termination of your account and, where appropriate, referral to law enforcement.

7. Subscription, Billing, and Refunds

7.1 Subscription Plans

  • Starply offers subscription plans billed monthly or annually
  • Prices, features, and usage limits for each plan are listed on the pricing page
  • Starply also offers a 14-day free trial for new users; no credit card is required for the trial

7.2 Payment Processing

Payments are processed securely by Stripe. By subscribing, you authorize Starply and Stripe to charge your payment method on a recurring basis for the subscription fees until you cancel. You are responsible for providing accurate billing information and keeping your payment method up to date.

7.3 Cancellation

You may cancel your subscription at any time from the Billing page. Cancellations take effect at the end of the current billing period; you will retain access until that date. We do not provide prorated refunds for unused portions of a billing period, except as required by law or specified in these Terms.

7.4 Refunds

Except where required by law, paid subscription fees are non-refundable once the billing period has begun. Lifetime deal purchases, if offered, include a 60-day money-back guarantee from the date of purchase. Refund requests should be sent to billing@starply.ai.

7.5 Price Changes

We may change subscription pricing at any time. Price changes for existing paying customers will take effect no sooner than 30 days after we notify you by email. Continued use of the Service after the effective date of the price change constitutes acceptance.

8. Intellectual Property

The Service, including its source code, design, branding, logos, AI prompts, workflows, and documentation, is owned by Starply and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as permitted.

You retain ownership of all content you submit to the Service, including your business information, knowledge base, custom brand voice, reviews imported from Google, and any replies you author or approve. You grant Starply a worldwide, royalty-free license to process, store, and display your content solely for the purpose of providing the Service to you.

AI-generated reply drafts are provided to you as part of the Service. You may use, edit, and publish these drafts without restriction. Starply does not claim ownership of drafts you generate through the Service.

9. Third-Party Services

The Service integrates with third-party services including Google Business Profile, Stripe, Supabase, OpenAI, Google Gemini, Resend, and Twilio. Your use of these third-party services is governed by the terms and privacy policies of those providers. Starply is not responsible for the availability, performance, or content of third-party services, and their outages or changes may affect the Service.

10. Service Availability and Changes

We strive to provide reliable service but do not guarantee that the Service will be available 100% of the time. We may perform scheduled maintenance, experience unplanned outages, or temporarily restrict access for security or operational reasons. We are not liable for any losses resulting from Service interruptions.

We may modify, suspend, or discontinue the Service or any features at any time. We will provide reasonable notice of material changes that affect paying customers.

11. Disclaimers and Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STARPLY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that (a) the Service will meet your specific requirements, (b) the Service will be uninterrupted, timely, secure, or error-free, (c) any AI-generated content will be accurate or appropriate, (d) the Service will result in improved star ratings, SEO rankings, or business outcomes, or (e) defects in the Service will be corrected.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STARPLY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF STARPLY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

STARPLY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED US DOLLARS ($100) OR (B) THE AMOUNT YOU PAID TO STARPLY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless Starply and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Service, (b) your violation of these Terms, (c) your violation of any rights of a third party (including Google Business Profile policies or review platform policies), (d) any content you post or publish through the Service, or (e) your violation of applicable laws.

14. Account Termination

You may cancel your account at any time through the Billing page or by contacting support. Upon termination, your access to the Service will cease, and your data will be deleted in accordance with our Privacy Policy.

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or abusive behavior, or if we are required to do so by law. Upon termination, all provisions of these Terms that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

15. Dispute Resolution and Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

Before initiating any formal legal proceeding, you agree to first contact us at legal@starply.ai and attempt to resolve the dispute in good faith for at least 30 days.

16. Changes to These Terms

We may modify these Terms at any time. When we make material changes, we will notify you by (a) updating the “Last updated” date at the top of this page, (b) sending an email to the address associated with your account, and (c) posting a notice in the Starply dashboard. Continued use of the Service after the effective date of the updated Terms constitutes acceptance. If you do not agree to the changes, you must stop using the Service and may delete your account.

17. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Starply regarding the Service.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
  • Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party will be liable for delays or failures due to events beyond reasonable control, including natural disasters, acts of war, government action, power outages, or third-party service disruptions.
